Terms & Conditions

Last updated: 18 September 2026

These Terms form a legally binding agreement between you (the business customer) and WreckerSync ("we", "us", "our"). WreckerSync is a product of Digital Stanza, the parent company, of No. 123, MG Road, Bengaluru, Karnataka 560001, India. By submitting an enquiry, paying a maintenance invoice or payment link, installing a licence key, or using any Service, you agree to these Terms, the Privacy Policy, and the Refund Policy. If you do not agree, do not use the Service.

1. Who these Terms apply to

The Service is supplied to businesses for commercial use, not to consumers buying for personal or household use. You warrant that you have authority to bind the business named on the enquiry, invoice, or licence. Where Australian Consumer Law (ACL) or other non-excludable law applies, it is not excluded; these Terms limit our liability to the maximum extent that law allows.

2. What we sell on this website (maintenance only)

This website and the Super Admin billing system sell ongoing maintenance subscriptions only. A maintenance subscription may cover one or more of:

  • Pinnacle Sync for WooCommerce (live parts on your WordPress site)
  • Pinnacle → eBay Sync
  • WreckerSync chat widget (managed hosting, training, and dashboard)

One client record has one subscription amount. Adding a product later does not create a second contract; the amount is updated and the next invoice lists every product that amount covers. Licence keys are issued per plugin so we can tell which products are on which site.

3. One-time plugin cost is not sold here

The initial WordPress plugin licence (WooCommerce Sync, eBay Sync, or similar) is a separate, one-time fee agreed and paid offline (email, invoice, or other writing). It is not offered, carted, or charged through this website. These Terms do not create a right to a plugin copy without that offline agreement. Disputes about the one-time fee are governed by that offline writing; this website will not refund plugin purchase money it never collected.

Paying maintenance does not by itself grant a new plugin licence for additional websites. Extra sites may require extra licence keys and extra fees as quoted.

4. What maintenance includes — and what it does not

While the subscription is current (status trial, active, or past due before expiry), maintenance includes:

  • Plugin updates we choose to release for supported WordPress / WooCommerce / API versions
  • Reasonable email support for the licensed products during our business hours
  • For AI chat: hosting of the chat service we provide, and turning the widget on when you are in good standing
  • Licence validation (daily check-in from your WordPress site)

Maintenance does not include, unless we quote it in writing:

  • Pinnacle, eBay, WooCommerce, hosting, domain, SSL, or theme fees
  • eBay seller fees, promoted listings, or eBay policy compliance
  • New features, custom development, or redesign of your website
  • Fixing damage caused by other plugins, your staff, or third-party developers
  • Data entry, photographing parts, writing listing copy, or customer service to your buyers
  • Guaranteed compatibility with every future WordPress, PHP, Pinnacle, or eBay change

5. Licence keys and check-in

Each plugin requires its own licence key, entered by you in that plugin's settings. After activation, the plugin sends a daily heartbeat including site URL, site name, admin email, WordPress/PHP/plugin versions, and IP address. That data is used only to validate the licence, count sites, and contact you about the Service. A failed or unreachable check-in does not by itself disable WooCommerce or eBay plugin features. AI chat availability is controlled separately (section 8).

You must not share keys, use a key on more sites than allowed, or circumvent check-in. We may suspend or revoke a key for abuse, non-payment after expiry, or a material breach.

6. Billing, payment links, and invoices

Maintenance is billed in advance for a monthly or annual term as shown on the payment link or invoice. Payment is collected by Razorpay. We do not store full card numbers. Invoices are commercial invoices issued by Digital Stanza; they are not Australian tax invoices and do not include GST unless we state otherwise in writing. You are responsible for any taxes that apply to you.

Each invoice states a single total and names the products that total covers. Products are not priced as separate line-item contracts on this website unless we issue a separate written quote.

A paid term starts when payment is confirmed. Expiry is calculated from that date (one month or one year). We may send reminder links before expiry. Failure to pay by expiry ends the current term.

7. If you stop paying (plugins vs AI chat)

WordPress plugins (WooCommerce Sync, eBay Sync): After expiry we are not obliged to provide updates or support. The copy already installed on your site is not remotely uninstalled by us as a matter of course. Listings and parts already on your website or on eBay are your responsibility. Sync may stop working when third-party APIs change. That risk is why maintenance exists. We are not liable for lost sales, unsynced stock, or overselling after expiry.

AI chat: When the subscription expires (or is cancelled), we may set your widget to inactive and suspend dashboard login by calling your WordPress configuration endpoint with the API secret you gave us. Chat may show an offline form or nothing. We are not liable for leads you do not receive while the widget is off.

You may cancel from your account dashboard (OTP login we issue after we create the account). Cancel takes effect immediately for maintenance and AI chat: we stop updates and support, and we switch the live widget off. Installed plugins stay. Unused prepaid time is not refunded. Paying a new link starts a new term at then-current rates.

A failed payment before the expiry date may be marked past due. The chat stays on until expiry unless we agree otherwise. After expiry, a new paid term is required to resume maintenance and to turn AI chat back on. Restarting is a new term at then-current rates, not a free continuation of the old term.

8. Your responsibilities

You must:

  • Keep WordPress, PHP, WooCommerce, and hosting in a supported, secure state
  • Keep Pinnacle, eBay, and payment-gateway credentials valid and authorised
  • Give us accurate business, inventory, and policy information for AI chat
  • Not rely solely on AI output to complete a sale; you confirm stock, fitment, and price
  • Comply with eBay, Pinnacle, Australian Consumer Law as it applies to your sales, and advertising law
  • Back up your site; we are not your hosting provider or backup service

You authorise us to store encrypted copies of dashboard passwords and WordPress API secrets that you supply, to log in on your behalf for support, and to turn AI chat on or off to match subscription status.

9. Third-party platforms

Pinnacle, eBay, WooCommerce, WordPress, Vercel, Razorpay, Anthropic, OpenAI, and other providers are independent. We do not control their uptime, APIs, fees, or rules. Outage, rate limits, account suspension, or API change by them is not a breach by us. You remain the contracting party with those platforms.

10. AI-generated content

AI responses can be wrong, incomplete, or outdated. You accept that risk. We are not liable for a customer acting on a chat reply (price, fitment, availability, shipping, or legal advice). You must not use the Service for prohibited, harmful, or deceptive content.

11. Intellectual property

We own the plugins, widget, dashboard, documentation, and brand (WreckerSync). Your one-time plugin fee (offline) and current maintenance grant a non-exclusive, non-transferable licence to use the licensed copy on the sites we agree, not to resell, sublicense, or reverse-engineer except as allowed by law. You own your content, logos, and customer data. You grant us a licence to use that material solely to provide the Service.

12. Confidentiality and credentials

Each party must keep the other's non-public information confidential, except where disclosure is required by law or to subcontractors under equivalent duties (hosting, payments, email). You must not publish licence keys or API secrets.

13. Indemnity

You indemnify us, our officers, and contractors against claims, losses, and reasonable legal costs arising from: your website or listings; your customers; your Pinnacle or eBay account; content you supply; your breach of these Terms or of third-party terms; or alleged infringement of rights in material you provided. This survives termination.

14. Warranties and limitation of liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law we exclude all implied warranties, including merchantability and fitness for a particular purpose.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive loss, or for lost profits, revenue, data, goodwill, or business interruption, even if advised of the possibility.

Our aggregate liability arising out of or related to the Service is capped at the maintenance fees you actually paid us for the affected product(s) in the twelve (12) months before the claim. If a non-excludable guarantee applies and we fail to meet it, our liability is limited (at our option) to resupplying the services or paying the cost of resupply.

15. Suspension and termination

We may suspend or end the Service immediately if you do not pay, you breach these Terms, you abuse APIs or other customers, or we are required to by law. You may stop paying at the end of a paid term. Sections that by nature should survive (IP, indemnity, limitation, confidentiality, licence telemetry already collected) survive termination.

16. Refunds

Refunds are governed solely by the Refund Policy. Chargebacks or payment disputes opened without first contacting us are a breach and may result in immediate suspension.

17. Changes

We may update these Terms by posting a new version on this page. The "Last updated" date changes when we do. Continued payment or use after the date is acceptance. Material changes may also be emailed to the address on your client record.

18. Force majeure

We are not liable for delay or failure caused by events beyond reasonable control, including network failure, third-party APIs, war, epidemic, government action, or utility failure.

19. General

These Terms are the entire agreement for the Service sold on this website, and override prior discussions except a signed quote or the offline plugin-purchase writing for the one-time fee. If a clause is unenforceable, the rest remains. You may not assign without our consent; we may assign to a successor. No waiver is implied by delay. Notices may be sent by email to the addresses we each last provided.

20. Governing law

These Terms are governed by the laws of India. Courts at Bengaluru, Karnataka have non-exclusive jurisdiction, without prejudice to any non-excludable rights you have under the law of your place of business (including Australian Consumer Law where it applies). We may still seek injunctive relief in any court.
